TERMS AND CONDITIONS OF SALE

Galaxy Audio, Inc. and the dealer hereby agree that their business relationship shall be governed solely by the terms and conditions below and the provisions of any Galaxy Audio Dealer Program sheet(s) executed by Galaxy Audio and the Dealer.  No additional or different terms or conditions in the purchase orders, acknowledgments or other business forms of either party shall be binding upon the other party unless expressed in writing by such party.

1. ACCEPTANCE OF ORDERS

Each Dealer's order shall be subject to Galaxy Audio's acceptance or rejection at Galaxy Audio's principal place of business. All orders must be submitted in writing to orders@galaxyaudio.com.

2. PRICING

The prices applicable to each of Dealer's orders accepted by Galaxy Audio shall be those in effect at the time of acceptance.  Galaxy Audio may change prices at any time, without advance notice, and new prices shall be applicable to all orders accepted after the effective date of a price change.

3. TAXES

Galaxy Audio's prices are exclusive of taxes.  Any taxes applicable to any purchases from Galaxy Audio shall be borne by Dealer or its customer.

4. PAYMENT TERMS AND FINANCIAL REQUIREMENTS

  1. Unless otherwise determined by Galaxy Audio, the Open Account payment terms shall be ten percent (10%) twenty (20) days, net thirty (30) days from date of invoice.  COD payments will have the ten percent (10%) discount deducted in advance. Credit card payments will receive an eight percent (8%) discount. VISA, MasterCard and American Express are accepted for credit card payment.
  2. Interest will accrue after the due date in the amount of one and one-half (1-1/2%) percent per month [eighteen (18%) percent per annum] or the maximum lawful rate, whichever is less.
  3. There will be a $30.00 return check fee for each check returned to Galaxy Audio. Any discounts that were deducted from the payment will be considered a missed discount and will be due and payable immediately. The account will be placed on credit hold until all past due amounts are paid.
  4. Galaxy Audio has a $20.00 minimum order. Orders under $20.00 will have a $2.00 Minimum Order Fee added to the total.
  5. In the event of any Dealer payment delinquency or if otherwise deemed necessary by Galaxy Audio for its protection, Galaxy Audio, at any time, may suspend Dealer's credit privileges and require payment via cash in advance or prepayment via credit card.
  6. Unless otherwise agreed by Galaxy Audio in writing, all financial transactions between Galaxy Audio and Dealer shall be in U.S. dollars.

 5. SHIPPING TERMS

  1. All shipments hereunder shall be FOB Galaxy Audio, Wichita, Kansas.
  2. Galaxy Audio shall endeavor to ship accepted orders within a reasonable time.  However, any scheduled shipping dates shall be deemed to be estimates only.
  3. There will be a drop ship charge of $5.00 per location.

6. CANCELLATIONS AND RETURNS (other than defects)

  1. A RETURN AUTHORIZATION (RA) NUMBER MUST BE OBTAINED from Galaxy Audio prior to any items being returned to Galaxy Audio for any reason. Contact customer service by emailing service@galaxyaudio.com.
  2. All returns for credit must have authorization from the Galaxy Audio main office before credit will be issued.  Returns for credit will have the applicable charges deducted as outlined.
  3. Freight charges will not be reimbursed.
  4. A ten (10%) percent restock fee will be charged for items ordered incorrectly and returned unopened when a replacement order is included for correct product.
  5. A fifteen (15%) percent restock fee will be charged for items returned for reasons other than defect under the following conditions:
    1. Items are returned in original packaging
    2. Items are returned complete as originally shipped
    3. Items are “like new” showing no signs of use and are not damaged in any way.

 7. WARRANTY CONDITIONS

  2. Galaxy Audio warrants the materials and workmanship of its products as follows:
  3. A limited FIVE YEAR Warranty applies to the following products:
    1. CONNECT-IT Series Cables, Connectors, & Adaptors
  4. A limited THREE YEAR Warranty applies to the following products:
    1. HOT SPOT Series speakers and accessories
    2. MICRO SPOT Series speakers and accessories
    3. CRICKET Polarity Test Set
    4. JACKS IN THE BOX Series
    5. LINE ARRAY Series speakers and accessories
    6. ANY SPOT WIRELESS PERSONAL MONITORS & accessories (excludes ear buds or ear cups that have a 1 yr. warranty)
    7. ANY SPOT WIRELESS MICROPHONES & accessories (excludes headset or lapel mics that have a 1 yr. warranty)
    8. ANY SPOT TOUR GUIDE/TRANSLATOR SYSTEMS (excludes ear buds or ear cups that have a 1 yr. warranty)
    9. ANY SPOT WIRELESS CAMERA KITS
    10. ANY SPOT WIRELESS SPEAKER SYSTEMS
    11. ANY SPOT TRAVELER Series Portable PA Systems & components (excludes player options; 1 year & batteries; 90 days)
    12. CHECKMATE Series SPL meters and accessories
    13. CYCLONE Series Rack Cases
    14. CORE Series speakers and accessories
  5. A limited ONE YEAR Warranty applies to the following products:
    1. ANY SPOT Headset, Earset, or Lapel Microphones & their cables
    2. Galaxy Audio Ear Buds & Ear Cups
    3. Galaxy Audio Wired Instrument or Test Microphones
    4. Galaxy Audio Studio Microphones and their accessories
    5. Galaxy Audio Installation Microphones
    6. Galaxy Audio Wired Handheld Microphones
    7. Galaxy Audio Studio Headphones
    8. Galaxy Audio Carbon Boom Microphones
    9. RM Series Chassis & Modules
  6. The following are not covered by the warranty:
    1. Damage to or deterioration of the exterior of the item, which occurs after deliver
    2. Damage after initial delivery resulting from accident, misuse or neglect
    3. Damage resulting from failure to follow instructions contained in the owner’s manual
    4. Damage resulting from the performance of repairs by someone other than the Galaxy Audio repair department
    5. Damage occurring during the shipment or delivery of any Galaxy Audio product to Galaxy Audio after initial delivery of the product to you.
    6. Damage to any Galaxy Audio product which has been altered or on which the serial number has been effaced or removed (where applicable)
  7. Galaxy Audio does not authorize any third party including any dealer or Service Center to assume any liability on behalf of Galaxy Audio or to make any warranty for Galaxy Audio.

8. DEFECTIVE MERCHANDISE POLICY-WARRANTY

  1. A RETURN AUTHORIZATION (RA) NUMBER MUST BE OBTAINED from Galaxy Audio prior to any items being returned to Galaxy Audio for repair or return. Contact customer service by emailing service@galaxyaudio.com.
  2. The Galaxy Audio warranty policy is to repair and return defective merchandise. Items under warranty may be replaced at no charge if deemed un-repairable by the Galaxy Audio technician.
  3. Proof of purchase may be required to verify warranty status.
  4. Customer will be responsible for shipping charges to the repair facility, repaired product will be returned shipping prepaid by Galaxy Audio.
  5. Freight charges will not be reimbursed.
  6. Credit for defective warranty merchandise must have authorization from the Galaxy Audio main office before credit will be issued and will be subject to applicable restock and replacement charges.
  7. A twenty percent (20%) restock fee will apply to warranty items returned for credit.  The cost of replacement parts to bring the item back to “like new” condition will also be deducted from credit for warranty items

9. DEFECTIVE MERCHANDISE POLICY-NON WARRANTY

  1. A RETURN AUTHORIZATION (RA) NUMBER MUST BE OBTAINED from Galaxy Audio prior to any items being returned to Galaxy Audio for repair or return. Contact customer service by emailing service@galaxyaudio.com
  2. Repair charges are $60.00 per hour (no minimum) plus parts.
  3. Customer will be responsible for all shipping charges.
  4. Prepayment is expected if customer is not set up with open account terms in advance.  Discounts are not applicable on repairs.  Open account terms for repairs will be Net Thirty (30) days.
  5. Some items past the warranty time period may qualify for a standard replacement cost.  Please contact Galaxy Audio for more information.

 
10. TERMINATION

Either Galaxy Audio or Dealer may terminate the business relationship of the parties, at any time, at will, with or without cause, upon thirty (30) days advance written notice to the other party.  Notwithstanding any payment terms previously afforded by Galaxy Audio to Dealer, all purchases during the final thirty (30) day period shall be paid for by Dealer in advance of shipment.
